Scope These Terms and Conditions (T&C) of EcoMine AG, located at Chamerstrasse 176, 6300 Zug, Switzerland (hereinafter "EcoMine AG"), apply to all contractual relationships between EcoMine AG and its business partners, clients, and customers (hereinafter "Customer"). They govern all services and products provided by EcoMine AG unless a different agreement has been explicitly made in writing. By accepting an offer or utilizing EcoMine AG’s services, the Customer agrees to these T&C. Any differing, conflicting, or additional terms from the Customer are only valid if expressly acknowledged in writing by EcoMine AG.
Contract Formation A contract between EcoMine AG and the Customer is established through a written service agreement detailing the scope, conditions, and terms of collaboration. The contract becomes effective only with written confirmation from EcoMine AG. Any changes, additions, or deviations from the contract must be in writing and signed by both parties to be valid. Verbal agreements not confirmed in writing by EcoMine AG are void. In case of discrepancies between these T&C and the specific service agreement, the written agreement prevails.
Services and Offers EcoMine AG provides specialized research and development services in materials science, IT, and blockchain technology. The exact scope and type of services are defined in each service agreement. EcoMine AG reserves the right to modify services as needed for technical, economic, or operational reasons, subject to the Customer’s written consent if these modifications significantly change the service scope.
Prices and Payment Terms All prices are in Swiss Francs (CHF) plus applicable VAT unless otherwise agreed. The prices specified in the offer or service agreement are binding. Unless agreed otherwise in writing, EcoMine AG invoices are due without deductions within 30 days of the invoice date. In case of late payment, EcoMine AG reserves the right to charge 5% annual interest. If there are credit concerns or delayed payments, EcoMine AG may require advance payment or security for continued services.
Liability and Warranty EcoMine AG commits to performing services with due diligence and in line with current technology standards. However, EcoMine AG is not liable for achieving specific research outcomes or economic success in research and development. Liability for minor negligence is excluded, except in cases of personal injury. EcoMine AG is liable for gross negligence or intentional misconduct within legal limits. Liability for indirect or consequential damages or loss of profit is excluded. For defects in delivered products or services, EcoMine AG may choose to repair, replace, or reduce the contract price at its discretion.
Intellectual Property All research results, developments, technologies, and other deliverables produced by EcoMine AG remain its intellectual property unless otherwise agreed in writing. The Customer receives a non-exclusive, non-transferable, non-sublicensable right to use the research results solely for the purposes outlined in the contract. Without EcoMine AG’s prior written consent, the Customer may not reproduce, distribute, or commercially exploit the research results.
Confidentiality EcoMine AG agrees to treat all confidential information obtained within the business relationship as strictly confidential and to use it solely for fulfilling the contract. This confidentiality obligation extends beyond the termination of the contract. Information already publicly accessible or disclosed without violating confidentiality is not subject to this obligation.
Data Protection EcoMine AG processes personal data in compliance with Swiss data protection laws. Data collected is used exclusively to fulfill contractual obligations and in line with legal requirements. The Customer consents to the processing of their personal data for this purpose. Further details are provided in the EcoMine AG privacy policy available on its website.
Anwendbares Recht und Gerichtsstand Swiss law applies exclusively, excluding international conflict-of-law provisions. The place of jurisdiction for all disputes arising from or related to these T&C or the contracts between EcoMine AG and the Customer is Zug, Switzerland.
Changes to the T&C EcoMine AG reserves the right to amend these T&C at any time without notice. Changes take effect upon publication on EcoMine AG's website. If the Customer does not object to the modified T&C in writing within 30 days, the changes are considered accepted.
Liability for Website Content EcoMine AG strives to ensure the accuracy, completeness, and currency of information on its website. However, EcoMine AG cannot guarantee the content is error-free, complete, or up-to-date. EcoMine AG is not liable for damages, material or immaterial, arising from using incorrect or incomplete information on its website, unless due to intentional or grossly negligent behavior. Changes to the website or its content may occur without prior notice.
